Welcome to www.tujawellness.com (the "Site"), a website owned and operated by Tuja Wellness Corp.  ("Tuja").  The Site or any product or service offered on the Site (collectively the "Services") are provided by Tuja, conditional on your acceptance of the terms and conditions of use set out below (the "Terms and Conditions of Use").  Your use of the Site shall constitute your binding acceptance of the Terms and Conditions of Use.
 
Tuja reserves the right to modify or amend the Terms and Conditions of Use without notice at any time.  As such, it is important that the Terms and Conditions of Use be read on a regular basis so that you are aware of any such changes. 
 
By accessing any part of the Site, you agree to be bound by these Terms and Conditions of Use.
 
  1. Copyright and Trade-marks
All content included on the Site (including, without limitation, the design, text, graphics, trade-marks, service marks, logos, slogans and internet domain names as well as any audio, video or User Submissions), and any selection or arrangement thereof (the "Content"), is the exclusive property of Tuja or its licensors and is protected by international copyright, trade-mark, service marks, patents, or other proprietary rights and laws.  All such rights therein are expressly reserved by Tuja.
 
Except as expressly stated in these Terms and Conditions of Use, none of the Content may be downloaded, copied, reproduced, republished, posted, transmitted, stored, sold or distributed without the prior written permission of Tuja.  The Tuja name and logo are trade-marks and copyrights of Tuja.
 
  1. Accounts
In order to access some features of the Site, you will have to create a Tuja account. You may never use another's account without permission.  When creating your account, you must provide accurate and complete information.  You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.  You must notify Tuja immediately of any breach of security or unauthorized use of your account.  Although Tuja will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses to Tuja or others due to any such unauthorized use.
  1. User Conduct
In consideration of the availability and your use of the Site, you agree to comply with the Terms and Conditions of Use and all applicable laws when using the Site.  You acknowledge that Tuja may investigate any violations of law and may cooperate with law enforcement authorities in prosecuting users in this regard.  Additionally, you agree not to:
 
(a) post, transmit, link to, or otherwise distribute any materials, information or content constituting, advocating or encouraging conduct that would constitute a criminal offence or give rise to civil liability, or otherwise use the Site in a manner which is contrary to law or would serve to restrict or inhibit any other user from using or enjoying the Site or the Internet;
(b) post, transmit, link to, or otherwise distribute any inappropriate, profane, defamatory, infringing, obscene, indecent, threatening, harassing, or unlawful material or information;
(c) post, transmit, link to, or otherwise distribute any information, materials or content (including for greater certainty, software) which contains a virus or other harmful or disruptive component;
(d) interfere with the security of, or otherwise abuse, the Site, system resources, accounts, servers or networks connected to or accessible through the Site;
(e) sell, license, rent, reproduce, modify or attempt to modify the Content in any way, or reproduce or publicly display, perform, transmit, distribute or otherwise use the Content for any public or commercial purpose;
(f) use any robot, spider or other automatic program or device, or manual process to monitor, copy, summarize or otherwise extract information from this Site or the Content in whole or in part;
(g) use or attempt to use another's account, password or other information without the prior written authorization of Tuja;
(h) access the Site for the purposes of monitoring availability, performance or functionality, or for any other benchmarking or competitive purpose;
(i) attempt to obtain unauthorized access to the Site or portions of the Site which are restricted from general access;
(j) access any Content (including User Submissions) through any technology or means other than through the Site itself, the embeddable player software (the "Embeddable Player") or other explicitly authorized means permitted by Tuja;
(k) use the Site, including the Embeddable Player for any commercial use, without the prior written authorization of Tuja.  Prohibited commercial uses include, but are not limited to, any of the following actions taken without Tuja's express approval:
(i) sale of access to the Site or Services on another website;
(ii) use of the Site or Services for the primary purpose of gaining advertising or subscription revenue; or
(iii) any use of the Site or Services  that Tuja finds, in its sole discretion, to use the Content with the effect of competing with or displacing the market for Tuja, Tuja content, or its User Submissions.
 
For greater certainty, prohibited commercial uses do not include: 1) uploading an original video to Tuja, or maintaining an original channel approved by Tuja to promote your business or artistic enterprise; 2) using the Embeddable Player to show Tuja videos on an ad enabled blog or website, provided the primary purpose of using the Embeddable Player is not to gain advertising revenue or compete with Tuja ; and 3) any use that Tuja expressly authorized.
 
If you use the Embeddable Player on your website, you must include a prominent link back to the Site on the pages containing the Embeddable Player and you may not modify, build upon, or block any portion of the Embeddable Player in any way.
 
If you use the uploader, you agree that it may automatically download and install updates from time to time from Tuja. These updates are designed to improve, enhance and further develop the uploader and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit Tuja to deliver these to you) as part of your use of the uploader.
 
  1. Use of Content
In addition to the general restrictions set out above, the following restrictions and conditions apply specifically to your use of Content on the Site:
(a) you may access User Submissions solely:
(i) for your information and personal use;
(ii) as intended through the normal functionality of the Site and Services; and
(iii) for Streaming; "Streaming" means a contemporaneous digital transmission of an audiovisual work via the Internet from the Site and related Services to a user's device in such a manner that the data is intended for real-time viewing and not intended to be copied, stored, permanently downloaded, or redistributed by the user. Accessing videos for any purpose or in any manner other than Streaming is expressly prohibited;
(b) user comments are made available to you for your information and personal use solely as intended through the normal functionality of the Tuja Site and Services. User comments are made available "as is", and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, downloaded, or otherwise exploited in any manner not intended by the normal functionality of the Site or related Services; and
(c) you understand that when using the Site, you will be exposed to User Submissions from a variety of sources, and that Tuja is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Tuja with respect thereto, and agree to indemnify and hold Tuja, its owners/operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the Site.
 
  1. User Submissions
As a Tuja account holder you may submit video content and textual content (collectively "User Submissions").  Tuja will not edit comments for content, but comments that are off topic, profane, self-promoting, soliciting, abusive, contain spam or contain links to third party sites will be deleted at Tuja's sole discretion.  Tuja does not guarantee any confidentiality with respect to any User Submissions. Comments must be made using a user name andcannot be made anonymously. For more information on how your personal information, including your user name, will be used please see  Section 11 - Privacy, below. 
 
You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize Tuja to use all patent, trade-mark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Site and these Terms and Conditions of Use.
 
For clarity, you retain all of your ownership rights in your User Submissions.  However, by submitting User Submissions to Tuja, you hereby grant Tuja a worldwide, non-exclusive, royalty-free, sub-licenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Tuja Site and Tuja's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Tuja Site (and derivative works thereof) in any media formats and through any media channels.  You also hereby grant each user of the Tuja Site a non-exclusive license to access your User Submissions through the Site, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Site and under these Terms and Conditions of Use.  The above licenses granted by you are perpetual and irrevocable.
 
You further agree that you will not, in connection with User Submissions, submit material that is contrary to these Terms and Conditions of Use or applicable local, national, and international laws and regulations.
Tuja does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Tuja expressly disclaims any and all liability in connection with User Submissions.  Tuja does not permit copyright infringing activities and infringement of intellectual property rights on its Site, and Tuja will remove all User Submissions if properly notified that such User Submission infringes on another's intellectual property rights. Tuja reserves the right to remove User Submissions without prior notice.
 
  1. Account Termination
Tuja reserves the right to place restrictions on a user's account including, but not limited to, disabling a user's ability to post comments, upload content, or participate in the discussion forum and/or terminate a user's access to the Site, at any time, without prior notice and at its sole discretion. Tuja reserves the right to decide whether a User Submission is appropriate and complies with these Terms and Conditions of Use for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Tuja may remove such User Submissions and terminate a user's access for uploading such material in violation of these Terms and Conditions of Use at any time, without prior notice and at its sole discretion.
 
  1. Copyright Infringement Protection
If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please provide Tuja with the following information: 
 
(a) a description of the copyrighted work or other intellectual property that you claim has been infringed;
(b) a description of where the allegedly infringing material is located on the Site, with enough detail that we may find it;
(c) your address, telephone number, and email address;
(d) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law;
(e) a statement by you that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf; and
(f) a physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest. This signature must be witnessed by another individual of legal age. Please clearly print the name of the witness on your notice.

  1. Internet Communications
The Internet is not a fully-secure medium and is subject to possible interception, loss, corruption, or alteration of communication.  Tuja is not liable for any damages resulting from the transmission, interception or corruption of communications to or from the Site.
 
  1. Liability Disclaimer
All Content and Services provided on or through the Site are provided "as is" and in good faith by Tuja.  While Tuja will use best efforts to present current, accurate and pertinent information, it does not make any representations or warranties of any kind, express or implied, in relation to all or any part of the Site or the Content and all warranties and representations are hereby excluded to the extent permitted by law.  Tuja does not warrant that the Content is accurate, reliable or correct, that the Site will be available at any particular time or location, that any defects or errors will be corrected or that the Content is free of viruses or other harmful components.  Further, nothing on the Site constitutes advice, nor should the Site, or any part thereof, be relied upon in making, or refraining from making, any decision. 
Use of this Site is solely at your own risk.  To the extent permitted by law, Tuja hereby disclaims all liability (howsoever arising) in connection with any loss or damage, arising out of or in connection with any use of, or inability to use, all or any part of the Site or the Content, or any action taken (or refrained from being taken) as a result of using any of the foregoing.
 
TUJA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
 
  1. Indemnity
You agree to indemnify, defend and hold harmless Tuja and each of its officers, directors, employees, affiliates and other related entities, agents, representatives, successors and assigns from and against any claims, actions or demands, including without limitation, legal and accounting fees arising from your use of or connection to the Site, any violation of the Terms and Conditions of Use by you, any claim that one of your User Submissions caused damage to a third party or any violation of applicable law or rights properly belonging to another party by you.
 
  1. Privacy
Tuja respects the privacy and confidentiality of your personal information.  Tuja does not collect your personal information, except where you provide such information in the course of using the Site.  By submitting personal information to Tuja, you acknowledge and agree that you have consented to the collection, use and disclosure of that personal information as specified on any collection form.  The general policies of Tuja with respect to the collection, use and disclosure of personal information are reflected in Tuja's privacy policy, found at http://www.tujawellness.com/home/tuja-legal/privacy-policy.html (the "Privacy Policy") and any questions in that regard may be directed to Tuja's privacy officer (as identified in the Privacy Policy).  Should Tuja change its Privacy Policy, the revised policy will be posted prominently on the Site, or it will be otherwise brought to your attention.
 
  1. Age Restriction
You affirm that you are over the age of 14, as the Site is not intended for children under 14.  If you are under 14 years of age, then please do not use the Site.
 
  1. Submission of Ideas and Suggestions
Tuja is always modifying the Site and developing new features. If you have ideas or suggestions regarding improvements or additions, Tuja would like to hear them, provided any submission will be subject to the Terms and Conditions of Use.  Under no circumstance shall any disclosure of any idea or suggestion be subject to any obligation of confidentiality or expectation of compensation.  By submitting the idea or suggestion you are waiving any and all rights that you may have in the idea or suggestion and are representing and warranting to Tuja that the idea or suggestion is wholly original to you, that no one else has any rights in the idea or suggestion and that Tuja is free to implement the idea or suggestion if it so desires, as provided or as modified by Tuja, without obtaining permission or license from any third party.
 
  1. Discussion Forum
If you want to submit material to Tuja for publication in the Tuja discussion forum (the "Discussion Forum") - coming soon, you may do so on the following terms and conditions:
(a) you grant to Tuja a non-exclusive, perpetual, royalty-free, worldwide license to use, modify, adapt, translate and publish any material you submit to the Discussion Forum in any format known or later developed, including without limitation, print and electronic, and exercise all copyright and publicity rights with respect to the material;
(b) you warrant that any material you submit to the Discussion Forum is your own original work and that you own the copyright in any such work;
(c) you warrant that the material you submit to the Discussion Forum is not obscene, offensive, defamatory of any person or otherwise illegal;
(d) you agree not to post material which is deliberately intended to upset other users;
(e) you acknowledge that any breach of these warranties may cause Tuja damage or loss and you agree to indemnify Tuja in full and on demand and permanently against any third party liabilities, claims, costs, loss or damage Tuja may incur as a result of  publishing any material you submit to the Discussion Forum, including any consequential losses; and
(f) Tuja reserves the right to remove your access to the Discussion Forum if it is believed you are abusing the Discussion Forum in any way.
When participating in the Discussion Forum, never assume that people are who they say they are, know what they say they know, or are affiliated with whom they say they are affiliated.  Tuja cannot be responsible for the content or accuracy of any information, and will not be responsible for any reliance or decisions made based on such information.  When using the Discussion Forum, you may not post, transmit, link to, or otherwise distribute any information, materials or content that do not generally pertain to the designated topic or theme of Tuja.  Use of the Discussion Forum for commercial purposes of any kind is strictly prohibited.  Please note that Tuja reserves the right to refuse to post or to remove any information or materials, in whole or in part, that, in its sole discretion, are unacceptable, undesirable, or in violation of these Terms and Conditions of Use.
 
  1. Third Party Sites
The Site may include links to third party websites which are not controlled or maintained by Tuja.  Any such links are included solely for your convenience and are not an endorsement by Tuja of the sites linked to, nor does Tuja have any control over the content of any such sites.  You acknowledge and agree that Tuja shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with any use of, or reliance upon, any content, goods or services available on or through any such third party websites.
 
  1. Affiliate Program
Tuja believes in respect and transparency which is why we want you to know that tuja wellness does work with affiliates. This means that some of the links you'll see in our content will take you to a store where, if you decide to make a purchase, we will make a small commission. Our affiliates have no control over our editorial content and being an affiliate does not influence any of our opinions, which are 100% tuja's.

Tuja reserves the right to modify, add to, delete from, alter or update the Terms and Conditions of Use (each a "Change") without notice at any time.  Any Changes will be posted to this page and it is your responsibility to ensure that you are aware of any such Change from time to time.  Changes will become effective 24 hours after they are first posted and you will be deemed to have accepted any Changes if you continue to access the Site after that time 
 
  1. Governing Law
The Terms and Conditions of Use shall be deemed to have been made and performed exclusively in Alberta and shall be governed by and interpreted in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein without regard to conflict of laws principles.  You agree to submit to the exclusive forum, jurisdiction and venue of the courts of Alberta for any claim related to the Terms and Conditions of Use and you agree not to bring any action, suit or proceeding against Tuja, its officers, directors, employees, affiliates and other related entities, agents, representatives, successors and assigns in any jurisdiction other than Alberta.
 
  1. General
The Terms and Conditions of Use constitute the entire agreement between you and Tuja with respect to the use of the Site.  Tuja's failure to insist upon or enforce strict performance of any provision of the Terms and Conditions of Use shall not be construed as a waiver of any provision or right of Tuja.

1. Eligibility. Sweepstakes are open to residents of Canada, who have, at the time of entry, reached the age of majority in the province in which they reside. To be eligible to win a prize, entries must be completed and received by tuja wellness in the format designated below. Directors, officers and employees of tuja wellness and any of their respective affiliate companies, sales groups or partnering companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, and immediate families of each are not eligible to win any prizes. All applicable federal, provincial and local laws and regulations apply. OFFER VOID WHERE PROHIBITED.

2. Disclaimer. tuja wellness, contest Sponsors, and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees and agencies (“Released Parties”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; (c) any Sweepstakes disruptions, injuries, losses or damages caused by events beyond the control of Released Parties; or (d) any printing or typographical errors in any materials associated with the Sweepstakes.

3. Sweepstakes Periods. The Sweepstakes periods (“Entry Period”) is as follows:

4. How to Enter. NO PURCHASE NECESSARY TO ENTER OR WIN. Weekly prize: one entry per yoga photo submitted. Grand prizes: one entry per complete contest submission (21 daily photos posted to Instagram). Photos will be judged by a panel of tuja and Lole personnel, as well as voted on through a social media channels (Facebook and Instagram).

All entries become the property of tuja wellness and the Sponsors and will not be returned. Entrants may be contacted by tuja wellness or the Sponsors via email or postal mail at a future date. All entries must be submitted from a valid electronic account, which may be identified by reverse domain name search. In the event of a dispute about the identity of the entrant, entries made online will be declared made by the authorized account holder of the electronic address submitted at time of entry. An authorized account holder is defined as the natural person who is assigned to an electronic address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, community, etc.) that is responsible for assigning electronic addresses for the domain associated with the submitted electronic address. The potential winner may be required to provide tuja wellness or the Sponsor with proof that the potential winner is the authorized account holder of the electronic address associated with the winning entry and other information to complete the presentation of the prize.

5. Selection and Notification of Winners. Winners will be determined by tuja’s judging panel and public votes from all eligible entries. Winners will be notified by email/ social media. To claim a prize, winners need to follow the instructions contained in their notifications and fill out the information requested by tuja wellness or the Sponsor.

6. Prizes. Prizes that will be awarded are Lole yoga mats (10) and gift cards (3 x $100, 1 x $300, 1 x $500)

7. Odds of winning a prize depend on number of eligible entries received. ALL FEDERAL, PROVINCIAL AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. All prizes will be awarded. Prizes returned as undeliverable or otherwise not claimed within three days (3) after delivery of notification will be forfeited and awarded to an alternate winner selected by a second random drawing from all remaining eligible entries. Prizes are not transferable, are not eligible for any refund, and may not be used with any other promotional discount. No substitutions or exchanges (including for cash) of any prize will be permitted, except that Sponsor reserves the right to substitute a prize of comparable or greater value for any prize. All prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

8. General Release. By entering the Photo Contest or taking any actions in furtherance of the Photo Contest, you release the Sponsors, tuja wellness and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies from any liability whatsoever, and waive any and all causes of action, for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Sweepstakes or acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

9. Use of Winners’ Name & Likeness. Except where prohibited by law, entry into the Photo Contest constitutes permission for the Sponsors and tuja wellness and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies to use each winner’s name, city/town of residence, likeness and/or prize information, without limitation, for promotional purposes without further permission or compensation. As a condition of being awarded any prize, except where prohibited by law, each winner may be required to execute a consent to the use of his/her name, city/town of residence, likeness and/or prize information, without limitation, for promotional purposes without further permission or compensation.

10. Copyright. The Photo Contest and all accompanying materials are copyright 2015 by tuja wellness. All rights are reserved.

11. Miscellaneous. The Sweepstakes and these Official Rules will be governed, construed and interpreted under Canadian law. Entrants agree to be bound by these Official Rules and by the decisions of Sponsors, which are final and binding in all respects. Sponsors reserve the right to suspend or cancel the Sweepstakes or any entrant’s participation in the Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond Sponsors’ control affect the administration, security or proper play of the Sweepstakes, or Sponsors otherwise becomes (as determined in its sole discretion) incapable of running the Sweepstakes as planned, in which event the prizes will be awarded via a random drawing from among all eligible entries received prior to cancellation. Entrants who violate these Official Rules, tamper with the operation of the Sweepstakes or engage in any conduct that is detrimental or unfair to the Sponsors, the Sweepstakes or any other entrant (in each case as determined in Sponsors’ sole discretion) are subject to disqualification from entry into the Sweepstakes. In addition, Tuja may provide links to the sites of these third party companies and certain other businesses. Tuja is not responsible for examining or evaluating, and Tuja does not warrant the offerings of, any of these businesses or individuals or the content of their websites. Tuja does not assume any responsibility or liability for the actions, products, and content of these and any other third parties. You agree that Tuja is not in any way responsible for any such actions, products, and/or content. You should carefully review the privacy statements and other conditions of use relating to any such third party offerings.
 
2               PURCHASE AS A GUEST OR TUJA MEMBER
You may use the Store Service as a guest or through your Tuja member account. Any information you provide to Tuja as part of the Store Service shall be subject to this e-Store Agreement and the Privacy Policy, found at http://www.tujawellness.com/privacy-policy.html.
 
3               SHIPPING
Tuja reserves the right to limit the quantities of items which you, your family or any group can purchase, to reject, correct, cancel or refuse orders, and to determine accounts in its discretion including, without limitation, if Tuja believes that your conduct contravenes applicable law or is harmful to the interests of Tuja or its representatives, agents, contractors, suppliers or licensees.
 
Tuja will use commercially reasonable efforts to deliver items as quickly as possible and within any time periods clearly indicated on the Store Service; however, Tuja will not be responsible for any delays in delivery which are beyond its control. Where delivery is delayed, Tuja will notify you as soon as possible.
 
4               ACCEPTABLE USE POLICY FOR YOUR RATINGS, REVIEWS, COMMENTS AND COMMUNICATIONS

5               PAYMENT AND TAXES
You agree that you will pay for all products you purchase through the Store Service in accordance with this e-Store Agreement. Tuja accepts payment through PayPal, a third party processor, only. This means that
 
(a)            all payment information you provide to purchase a Tuja Product is delivered directly to PayPal, and
(b)            PayPal is responsible for accurate processing of the transaction and appropriate storage and protection of your personal information.
Tuja does not receive, store or handle your personal financial information. Without limiting the foregoing, you understand and agree that Tuja is not liable for any error in invoicing or payment processing, or any breach in security with respect to your payment information associated with PayPal.
 
All prices listed on this website are in Canadian dollars and all other charges are in Canadian dollars.
 
Your total price will include the price of the product plus any applicable sales tax; such sales tax is based on the bill-to address and the sales tax rate in effect at the time you purchase or download the product. We will charge tax for digital goods only in jurisdictions where digital goods are taxable.
 
6               REFUND POLICY
Subject to the refund provisions of this Section 6, all sales and rentals of digital Tuja Products are final.
 
Non-digital, unused, unworn, and unopened Tuja Products may be returned for refund within fourteen (14) days of purchase. You must pay the return shipping costs.
 
Prices for Tuja Products offered via the Store Service may change at any time, and the Store Service does not provide price protection or refunds in the event of a price reduction or promotional offering.
 
If a Tuja Product becomes unavailable following a transaction but prior to a download, your sole remedy is a refund. If technical problems prevent or unreasonably delay delivery of your product, your exclusive and sole remedy is either replacement or refund of the price paid, as determined by Tuja.
 
7               CONTENT AVAILABILITY
Tuja reserves the right to change content options (including eligibility for particular features) without notice.
 
8               USE OF PURCHASED OR RENTED CONTENT
You agree that the Store Service and certain Tuja Products include security technology that limits your use of Tuja Products and that, whether or not Tuja Products are limited by security technology, you shall use Tuja Products in compliance with the applicable usage rules established, from time to time, by Tuja and its licensors ("Usage Rules"), and that any other use of the Tuja Products may constitute a copyright infringement. Any security technology is an inseparable part of the Tuja Products. Tuja reserves the right to modify the Usage Rules at any time. You agree not to violate, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security technology related to such Usage Rules for any reason, or to attempt or assist another person to do so. Usage Rules may be controlled and monitored by Tuja for compliance purposes, and Tuja reserves the right to enforce the Usage Rules without notice to you.
 
You agree not to access the Store Service by any means other than through the website or software (which may include a login portal) that is provided by Tuja for accessing the Store Service. You shall not access or attempt to access an Account that you are not authorized to access. You agree not to modify the website or software in any manner or form, or to use modified versions of the website or software, for any purposes including obtaining unauthorized access to the Store Service. Violations of system or network security may result in civil or criminal liability.
 
9               USAGE RULES
(a)            You are authorized to use Tuja Products for personal, noncommercial use only.
(b)            You are not entitled to burn digital Tuja Products.
10            PRODUCT DESCRIPTIONS
Tuja attempts to be as accurate as possible. However, Tuja does not warrant that product descriptions or other content of any Store Service is accurate, complete, reliable, current or error-free. If a product offered by Tuja itself is not as described, your sole remedy is to return it in unused condition.
 
11            INTELLECTUAL PROPERTY
All Tuja Products are the exclusive property of Tuja or its licensors and is protected by international copyright, trade-mark, service marks, patents or other proprietary rights and laws.
 
No portion of the Store Service may be reproduced in any form or by any means, except as expressly permitted in these terms. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Store Service in any manner, and you shall not exploit the Store Service in any unauthorized way whatsoever.
 
Notwithstanding any other provision of this e-Store Agreement, Tuja and its licensors reserve the right to change, suspend, remove, or disable access to any Tuja Product, content, or other materials comprising a part of the Store Service at any time without notice. In no event will Tuja be liable for making these changes. Tuja may also impose limits on the use of or access to certain features or portions of the Store Service, in any case and without notice or liability.
 
12            DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
(a)            TUJA WARRANTS THAT IT WILL PROVIDE THE STORE SERVICE WITH REASONABLE CARE AND SKILL AND SUBSTANTIALLY IN ACCORDANCE WITH THIS E-STORE AGREEMENT. EXCEPT AS PROVIDED HEREIN, THERE ARE NO OTHER WARRANTIES, CONDITIONS OR PROMISES ABOUT THE STORE SERVICE, EXPRESSED OR IMPLIED, AND ALL SUCH WARRANTIES, CONDITIONS AND PROMISES ARE EXCLUDED TO THE FULL EXTENT PERMITTED BY LAW. WITHOUT LIMITATION TO THE FOREGOING:
(i)              TUJA DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE STORE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME TUJA MAY REMOVE THE STORE SERVICE FOR INDEFINITE PERIODS OF TIME, OR CANCEL THE STORE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU; AND
(ii)            TUJA DOES NOT GUARANTEE, REPRESENT OR WARRANT THAT THE STORE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND TUJA DISCLAIMS ANY LIABILITY RELATING THERETO. PRODUCTS CAN ONLY BE DOWNLOADED ONCE; AFTER BEING DOWNLOADED, THEY CANNOT BE REPLACED IF LOST FOR ANY REASON. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM, INCLUDING ANY TUJA PRODUCTS PURCHASED FROM THE SITE.
(b)            IN NO CASE SHALL TUJA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY TUJA, ITS EMPLOYEES OR AGENTS WHERE:
(i)              THERE IS NO BREACH OF A LEGAL DUTY OF CARE OWED TO YOU BY TUJA OR BY ANY OF OUR EMPLOYEES OR AGENTS;
(ii)            SUCH LOSS OR DAMAGE IS NOT A REASONABLY FORESEEABLE RESULT OF ANY SUCH BREACH; AND
(iii)           ANY INCREASE IN LOSS OR DAMAGE RESULTS FROM BREACH BY YOU OF ANY TERM OF THIS E-STORE AGREEMENT.
TUJA WILL NOT BE LIABLE FOR ANY LOSS OF INCOME, BUSINESS OR PROFITS, OR FOR ANY LOSS OR CORRUPTION OF DATA IN CONNECTION WITH YOUR USE OF THE STORE SERVICE.
(c)            TUJA SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE STORE SERVICE, BUT YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND TUJA HEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.
(d)            IN NO CASE SHALL TUJA BE LIABLE FOR ANY CLAIM ARISING FROM THIRD PARTY ACTIONS, PRODUCTS AND/OR CONTENT.
13            WAIVER AND INDEMNITY
BY USING THE STORE SERVICE, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD TUJA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS E-STORE AGREEMENT, YOUR USE OF THE STORE SERVICE, OR ANY ACTION TAKEN BY TUJA AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS E-STORE AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS E-STORE AGREEMENT HAS OCCURRED. THIS MEANS THAT YOU CANNOT SUE OR RECOVER ANY DAMAGES FROM TUJA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE STORE SERVICE, OR TO TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A RESULT OF TUJA'S CONCLUSION THAT A VIOLATION OF THIS E-STORE AGREEMENT HAS OCCURRED. THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THIS E-STORE AGREEMENT.
 
14            OBJECTIONABLE MATERIAL
You understand that by using the Store Service, you may encounter material that you may deem to be offensive, indecent, or objectionable, and that such content may or may not be identified as having explicit material. Nevertheless, you agree to use the Store Service at your sole risk and Tuja shall have no liability to you for material that may be found to be offensive, indecent, or objectionable. Product types and descriptions are provided for convenience, and you agree that Tuja does not guarantee their accuracy.
 
15            CHANGES
Tuja reserves the right at any time to modify this e-Store Agreement and to impose new or additional terms or conditions on your use of the Store Service. Such modifications and additional terms and conditions will be effective immediately and incorporated into this e-Store Agreement. Your continued use of the Store Service will be deemed acceptance thereof.
 
16            ENTIRE AGREEMENT
This e-Store Agreement (together with the general Terms and Conditions of Use, Privacy Policy, and Tuja Membership Agreement, as applicable) constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements, negotiations, discussions, undertakings, representations, warranties and understandings, whether written or verbal (including any previous agreements between you and Tuja). Tuja's failure to insist upon or enforce strict performance of any provision of this e-Store Agreement shall not be construed as a waiver of any provision or right of Tuja. In the event of conflict between this Tuja e-Store Services Agreement, the Tuja Membership Agreement, the Privacy Policy, and the general Terms and Conditions of Use, the following order of precedence shall apply: Tuja Membership Agreement, Tuja e-Store Services Agreement, Privacy Policy, and Terms and Conditions of Use.
 
17            SEVERABILITY
If any term of this e-Store Agreement is or becomes illegal, invalid or unenforceable, the illegality, invalidity or unenforceability of that term will not affect the legality, validity or enforceability of the remaining terms of this e-Store Agreement.
 
18            GOVERNING LAW
This e-Store Agreement shall be deemed to have been made and performed exclusively in Alberta and shall be governed by and interpreted in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein without regard to conflict of laws principles. You agree to submit to the exclusive forum, jurisdiction and venue of the courts of Alberta for any claim related to this e-Store Agreement and you agree not to bring any action, suit or proceeding against Tuja, its officers, directors, employees, affiliates and other related entities, agents, representatives, successors and assigns in any jurisdiction other than Alberta.

8. General Release. By entering the Sweepstakes or taking any actions in furtherance of the Sweepstakes, you release the Sponsors, tuja wellness and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies from any liability whatsoever, and waive any and all causes of action, for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Sweepstakes or acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.
9. Use of Winners’ Name & Likeness. Except where prohibited by law, entry into the Sweepstakes constitutes permission for the Sponsors and tuja wellness and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies to use each winner’s name, city/town of residence, likeness and/or prize information, without limitation, for promotional purposes without further permission or compensation. As a condition of being awarded any prize, except where prohibited by law, each winner may be required to execute a consent to the use of his/her name, city/town of residence, likeness and/or prize information, without limitation, for promotional purposes without further permission or compensation.

11. Miscellaneous. The Sweepstakes and these Official Rules will be governed, construed and interpreted under Canadian law. Entrants agree to be bound by these Official Rules and by the decisions of Sponsors, which are final and binding in all respects. Sponsors reserve the right to suspend or cancel the Sweepstakes or any entrant’s participation in the Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond Sponsors’ control affect the administration, security or proper play of the Sweepstakes, or Sponsors otherwise becomes (as determined in its sole discretion) incapable of running the Sweepstakes as planned, in which event the prizes will be awarded via a random drawing from among all eligible entries received prior to cancellation. Entrants who violate these Official Rules, tamper with the operation of the Sweepstakes or engage in any conduct that is detrimental or unfair to the Sponsors, the Sweepstakes or any other entrant (in each case as determined in Sponsors’ sole discretion) are subject to disqualification from entry into the Sweepstakes.
